Check Out Manchester United's Cayman Islands-Based Shell Corporation (MANU)

Most people think that Manchester United, which went public with a share offering Friday, is headquartered at its stadium, Old Trafford, outside Manchester city center.

Think again.

United's F-1 filing with the SEC describes its real corporate structure. United is now officially based in the Cayman Islands, and the football club itself is a shell corporation. Technically, United's new address is c/o Walkers Corporate Services, Walker House, 87 Mary Street, George Town, Grand Cayman, KY 1-9001, Cayman Islands.

The company based there is called Red Football, which owns Manchester United plc (Cayman), which owns Red Football Holdings Limited (UK), which owns Red Football Shareholder Limited (UK), which owns Red Football Joint Venture Limited (UK), which owns Red Football Junior Limited (UK) and Manchester United Limited (UK), and "various operating subsidiaries."

Obviously, this was done for tax avoidance purposes. United said it expects its Cayman registration to make it subject to U.S. taxes, (see page 38):

... because we chose to be organized as a Cayman Islands corporation for reasons principally related to the corporate governance benefits this provides to our principal shareholder as described throughout this prospectus, we believe we will not be able to avoid treatment as a US domestic corporation for all purposes of the US Internal Revenue Code of 1986, as amended (the "Code"). As a result, the Company will be subject to US federal income tax on its worldwide income.

Finally, as if other warning signs were needed, the club is to incorporate itself in the Cayman Islands’ tax haven. All of this is worrisome. Potential investors should be very careful to be aware of the risks inherent in this situation.

Report: Dwight Howard Traded To The Los Angeles Lakers

Our long national nightmare is over as Dwight Howard has finally been traded. According to ESPN.com, the Los Angeles Lakers have acquired the All-Star center from the Orlando Magic in a complicated four-team deal that also involved the Denver Nuggets and Philadelphia 76ers.

Howard may be the biggest, but he is not the only big name switching teams.

In addition to Howard moving to the L.A., the Nuggets will receive Andre Iguodala and the 76ers will receive Andrew Bynum, both of whom were 2012 All-Stars.

The 76ers will also receive 11-year veteran Jason Richardson, and the Magic will receive three players (Arron Afflalo, Al Harrington, Nikola Vucevic) as well as three first-round picks, one from each of the other teams in the deal.

But of course, the only name that really matters is Howard, who has long wanted out of Orlando and finally gets his wish. However, Howard's first choice was the Brooklyn Nets, so now we have to wait until next off-season to see if Howard re-signs with the Lakers or bolts for the Big Apple.

Usain Bolt Will Compete In The 2016 Olympics

You might wonder what there is left to prove for the man that has declared himself to be the "greatest athlete" ever. In fact, when asked what was left to prove after winning the 200 meters yesterday, Usain Bolt said "nothing really." But that doesn't mean the 25-year old is ready to retire.

When asked if he will compete in the 2016 Olympics in Rio, Bolt said "definitely."

"All I have to do is set myself another goal," said Bolt to NBC. "I definitely want to finish my career at an Olympics, and see if I can do what no one else has ever done before. That's win again, three times back-to-back. I'm going to go, and we'll see."

Of course, Bolt may have other things on his mind between now and Rio as he will try out with Manchester United some time in the near future in the hopes of becoming a professional soccer player.

LONDON (Reuters) - Modern dance pioneer Isadora Duncan could have had a crack at gold in the Olympic rhythmic gymnastics - but is it art or sport?

A mixture of both would be the answer from Slava Corn, the Canadian vice-president of the International Gymnastics Federation (FIG).

Look past the spangly outifts, fixed grins and thick layers of make-up. Detractors may shake their heads in bewilderment over all this multi-colored kitsch but just watch what the gymnasts can do with a twirling hoop or a swirling ribbon.

"This sport has a difficulty score which is the content and it has an artistic score which is the performance and the presentation," Corn told Reuters.

"It is a sport in our minds but obviously it does have a huge artistic component. For us it is a sport expressed in an artistic way."

Among the gymnasts you can see the wafting and willowy influence of Duncan, widely regarded as the founder of modern dance, whose passion for flowing scarves killed her. Duncan was a passenger in an open-top car when her silk scarf got caught in the wheel axle and broke her neck.

"Ballet and all forms of dance have certainly influenced gymnastics," Corn said.

The music at London's Wembley Arena has been a gloriously incongruous mix.

The Bulgarian team went for a Beethoven piano sonata. Germany opted for "Fast Five Cheeky Bits." Azerbaijan's Aliya Garayeva chose Randy Newman's "You Can Leave Your Hat On" while China's Deng Senyue hoped Michael Jackson's magic would rub off on her with "Smooth Criminal".

Lyrics are banned, the gymnasts can use only the tune as accompaniment. Sounds "such as engines, police sirens and objects breaking are not allowed," the rules state.

Perpetual motion. Poetry in motion. If they can combine the two, the gymnasts are up there with top marks but some real disasters must be avoided.

Never ever let your hoop flutter in the air. Woe betide the gymnast whose ribbon gets knotted. Always balance your ball impeccably like a performing seal. For the club-wielding routine, think drum majorette meets juggler.

In the London 2012 competition, the commentator was lost in admiration for South Korean Yon Jae-son's hoop routine, telling the crowd: "She handled her apparatus magnificently."

The gymnasts in their spangly outfits have to sit in the "kiss and cry" seats in front of the audience waiting to hear their scores.

Detractors may dismiss the sport as being over the top but there is no doubting the skills of the gymnasts who start as young as six perfecting their ball, hoop, club and ribbon routines.

The crowds lapped it up at Wembley Arena, where Olympic "Perfect Six" figure skaters Christopher Dean and Jayne Torvill staged their "Dancing On Ice Live" tour.

So what does Corn say to those all too ready to mock?

"Well my goodness if somebody does eight turns on her toes, that's a skill," she said. "If they kick an apparatus with their foot and catch it with their hand, that's a skill. If you understand dance, you can appreciate what they are doing."

PGA Championship 2012 TV Schedule: When and Where to Watch Epic Weekend Action

The 2012 PGA Championship will provide golf fans with plenty of action all weekend long from The Ocean Course at Kiawah Island. 

The sport's greatest players will be gunning for the season's last major tournament, which hasn't produced a repeat winner since 2007 when Tiger Woods won his fourth career Wanamaker Trophy.

Defending champion Keegan Bradley is off to an excellent start, along with some other notable stars like Woods and Rory McIlroy.

Contenders to Watch This Weekend

Keegan Bradley

Bradley is the reigning PGA Championship winner and got off to a hot start at Ocean Course on Thursday, finishing the first round 4-under and just a couple strokes back of the leaders.

Bradley's eagle on hole No. 11 proved that he came to win again in 2012. The 26-year-old certainly has the game necessary to challenge the world's best.

Expect the 2011 champion to be in the thick of things all weekend long, as he seems to have found a home at the PGA Championship.

 

Graeme McDowell

The Northern Ireland native cranked out seven birdies during Thursday's first round, and he looks to be on a solid pace heading into the weekend. 

McDowell tied for 10th at the PGA Championship in 2009, but has missed the last two cuts at the prestigious major. It will be very interesting to see how he handles the ups and downs at Kiawah this weekend. 

The 2010 US Open champion has come dangerously close to winning the season's last two major tournaments. McDowell finished tied for second at the US Open in June, and tied for fifth at the British Open last month.

 

Tiger Woods

Of course, golf fans will have to be on the lookout for Tiger Woods. The 14-time major champion has won four PGA Championships during his career, and can tie Jack Nicklaus and Walter Hagen for the most all-time with a fifth.

Woods finally broke through this season after a lengthy drought. Tiger has three PGA tournament wins to his name and is the No. 1-ranked player on the PGA money list heading into this weekend.

His confidence looks to be back, and that makes him a real threat to hoist the trophy at Ocean Course on Sunday. I liked Tiger's chances coming into the tournament, and his solid Round 1 on Thursday gives me even more reason to believe that he'll be battling the leaders this weekend.

Dwight Howard Deal Proves Again Why Lakers Are Both Elite and Hated

It’s pretty safe to say that the Los Angeles Lakers, New York Yankees and New England Patriots are easily the three most hated professional sports franchises in all of American sports these days, no?

There are two reasons for this. First, all three of these teams win, and win often. And second, they all do whatever it takes to make sure that they keep winning, and winning big.

The Lakers proved this latter sentiment once again late Thursday night, when they pulled off the biggest blockbuster of the NBA offseason in acquiring the chiseled drama queen Dwight Howard from the Orlando Magic in an epic four-team trade.

It’s no coincidence as to why the Lakers have won an incredible 16 NBA titles in their existence. Led by owner Jerry Buss and GM Mitch Kupchak, the Lakers do what it takes to make sure they’re in contention to win that  17th title sooner than later.

Just when you thought the Lakers were rendered irrelevant in the current NBA landscape, thanks to the upstart Oklahoma City Thunder and LeBron James and the defending champion Miami Heat, Kupchak again pulls off a mega deal that catapults the Lakers back into the championship picture.

In essence, the Lakers gain the drama-filled—but dominant—Howard without losing center Pau Gasol. If you thought the Gasol-Andrew Bynum (who is now a 76er) duo was dominant in Los Angeles, wait until you get your first dose of Gasol and Howard.

It’s shades of a few years ago, when Kupchak pulled off his first major coup by trading then-irrelevant Marc Gasol to the Memphis Grizzles for older brother Pau. As a result, the Lakers went on to three straight NBA Finals, winning two of them in the process.

And while the Mavericks and Thunder spent the past two seasons winning the Western Conference, the Lakers spent this past offseason assuring that they’re primed to get back to the NBA Finals this season.

We thought that acquiring veteran point guard Steve Nash was the biggest move of Los Angeles’ current offseason; it turns out it was just setting the stage to getting Superman in Laker purple and gold.

Moves like these are why the Lakers are the Lakers. Much like moves like signing CC Sabathia and Mark Teixeira and trading for stud Curtis Granderson are the reason why the Yankees are the Yankees.

And much like moves like grabbing Randy Moss and drafting overlooked tight ends Rob Gronkowski and Aaron Hernandez (not to mention that little fiasco known as Spygate) are the reasons why the Patriots are the Patriots.

All three franchises are astute and bold when it comes to making their respective teams better. In nabbing Dwight Howard, the current Lakers are only further proof of this, and why they’re among the most hated—and most shrewd—of teams in American pro sports these days.

Packers vs. Chargers: Stock Up, Down for San Diego Players in Preseason Debut

Football is back and the Chargers had their first taste of action against one of the better teams in the NFL. Although it was a preseason game and the score doesn't matter, there are still valuable things that can be learned.

Particularly useful to coaches is to see what players rise to the occasion on game day. Fans will also want to see improvement in areas of perceived weakness. While the games don't matter, they do matter to the 90 guys or so guys that are competing for a spot on the 53-man roster or practice squad. The games matter to the veteran that can't stay healthy and the guy competing for a starting job.

Don't get it twisted. the preseason is valuable, it just seems far too long when fans are forced to pay regular-season prices.

A few players helped themselves on Thursday night and a few players hurt themselves, literally.

NFL Preseason Games: Notable Takeaways from Opening Contests

Football is back.

That's right, you read that correctly. After six-something months of football deprivation, you can finally get your weekly dose of your favorite NFL team.

While preseason play isn't exactly what the doctor ordered, it means that the country is one step closer to entering full-fledged NFL mode.

Not all NFL teams were in action Thursday night, but preseason play got off to a good start.

Here are some notable takeaways from Thursday's games.

 

Washington Redskins vs. Buffalo Bills: Robert Griffin III Won't Be a Bust

Robert Griffin III didn't come out and blow the doors off of Ralph Wilson Stadium in Orchard Park, but he showed that he is not going to be a bust.

The No. 2 overall pick looked really comfortable in the pocket throughout his few drives with the Redskins offense.

Many people were worried about whether RGIII could sit in the pocket and consistently make throws, as he spent a lot of time scrambling during his college career, but his outing on Thursday proved he'll be just fine.

Griffin wound up going 4-of-6 for 70 yards, a touchdown and a fumble lost. The only two passes that he failed to complete were a drop and another that saw Pierre Garcon just step out of bounds.

 

San Diego Chargers vs. Green Bay Packers: Melvin Ingram is Going to be a Productive Pro

Melvin Ingram proved that he is a sack machine by accumulating 19 sacks in his final two seasons with the South Carolina Gamecocks.

It remains to be seen if he can do it in the regular season, but Ingram's first preseason game showed that he certainly has the ability to become a top-tier pass-rusher.

Against the Green Bay Packers, Ingram notched just two tackles and one quarterback hit, but it wasn't hard to tell that he is a special prospect.

Even though he didn't get a sack, Ingram clogged up the middle plenty and collapsed the offensive line when he rushed inward. 

Offenses are going to be worrying about this guy for a long time.

 

Denver Broncos vs. Chicago Bears: Peyton Manning is Back

Peyton Manning only threw seven passes in his Denver Broncos debut, but he looked like he hadn't missed a step. After a year off, Manning looked like the robotic offense-leading machine that we have come to know and love (depending on which team you like).

Sure, he threw an interception, but that was off a tipped ball that hit Brandon Stokley in the chest first. He's still moving the same way as he did before the neck injury. He's still calling the offense the same way. The guy just looks like he's back in his element.

Of course, we'll have to wait and see how his body holds up once a linebacker or defensive end lays the wood on him from his blindside, but Thursday's debut was a convincing one.

Should Los Angeles Lakers Start Antawn Jamison or Metta World Peace?

For the sake of discussion (and sanity), let's assume for a moment that the Los Angeles Lakers will begin the 2012-13 NBA season as currently constituted, that (more specifically) there is no imminent Dwight Howard trade in the works.

Because, at this point in time, nobody really knows if/when/how it's going to go down, assuming Orlando Magic GM Rob Hennigan doesn't get cold feet for the umpteenth time.

So, rather than speculate as to the validity of conflicting reports from unnamed "sources" (read: agents), why don't we concern ourselves with an even more trivial matter—the battle for playing time between the newly-signed Antawn Jamison and the nearly-amnesty'd Metta World Peace?

Both are loosely considered to be wing players, with Jamison demonstrating a bit more positional versatility between small forward and power forward, and The Basketball Player Formerly Known as Ron Artest slotting in comfortably at the "three."

Skill-wise, Jamison and MWP aren't quite polar opposites, but they're pretty darn close. Jamison might best be described as a finesse scorer whose herky-jerky repertoire of mid-range shots and floaters off the wrong foot, while unconventional and at times unsightly, are surprisingly effective in the pursuit of buckets.

On the other end of the floor, Jamison's most noteworthy defensive attribute is that he doesn't play much of it.

MWP, meanwhile, is a four-time All-Defensive selection and former NBA Defensive Player of the Year who, though a step or two (or three) slower than he was in his heyday, still has the strength, the toughness and the sheer bulk to disrupt the league's biggest and baddest wings. He's shown an ability to score in the past, but if his three years with the Lakers are any indication, those days may be long gone.

MWP's also about three and a half years Jamison's junior, though Father Time appears to have been much kinder to 'Twan's game.

That doesn't necessarily make Jamison the better fit to start for Mike Brown, though. His first five is already replete with scorers and needy ball-users, between Kobe Bryant, Steve Nash, Pau Gasol and Andrew Bynum.

If anything, that unit needs a player who'd be content to operate without the ball on offense, perhaps even floating to the perimeter to shoot the occasional three-ball.

More importantly, with Nash and an aging Kobe on the perimeter and a loafing Bynum in the middle, LA's starting five would need someone of MWP's caliber to help mask his teammates' deficiencies on defense. MWP's no longer a bona fide ace on that end of the floor, to be sure, but he can still more than hold his own.

Jamison, on the other hand, would be more of the same of what the Lakers already have in their starting five—ball-dominant scoring on offense and an aging, fleeting presence on defense.

In the second unit, though, Jamison would be an enormous asset. He'd be the go-to scorer for LA's bench mob, with Steve Blake running the show, Devin Ebanks (assuming he re-signs) providing a dose of athleticism and defense on the perimeter and Jordan Hill doing the dirty work down low.

Not perfect, by any means, but far better than the horrendous hodgepodge the Lakers had coming off the bench last season.

Then again, if LA's entire roster is reshuffled in a blockbuster deal for Dwight Howard in the days to come, none of this conjecture is likely to matter.

Such are the current realities of Antawn Jamison and Metta World Peace, two former All-Stars and All-NBA performers who've aged to the point of chasing jewelry with the Purple and Gold.

Seeing The Future

from Kevin Allen of Rink Rap at USA TODAY, Ten summer predictions for the 2012-13 NHL season — and what could cause them to go awry:

• New York Islanders goalie Rick DiPietro will play as many games in 2012-13 as he has in the past four seasons: That total is 47. It just seems like it’s time for the oft-injured goalie to have some good luck.

The worry: He might not be able to beat out Evgeni Nabokov and will end up as a backup.

• Malkin and Crosby both will score 100 points:Evgeni Malkin is 26 and Sidney Crosby just turned 25, meaning both are entering the primes of their careers. Both have had injury issues. But Malkin is coming off a scoring championship, and Crosby has 103 points in his past 63 games. They seem primed for monstrous seasons.

The worry: A potential lockout could reduce the number of games they play this season.
